Conditions for accepting and storing items are the first issues addressed in a warehousing contract. A depositor can either formally agree in writing to the terms and conditions of a warehousing contract, or she can create an implied agreement by shipping goods for storage. The warehouse agent can refuse acceptance of goods if there is not a signed or oral agreement in place, but if he does accept them, the depositor is required to abide by the standard warehousing contract. Shipping costs are the responsibility of the depositor and generally cannot be assigned to the warehouse company.
The depositor is typically required to furnish a manifest detailing what goods are being stored and what, if any, special requirements — such as refrigeration — are needed to properly store the items. The containers are to be marked for easy handling and storage. The storage period usually runs from month to month, and the depositor is expected to pay her storage bill on either the first of the month or on a day the warehouse company and depositor have agreed payment is due.
A warehousing agreement contains various charges that the depositor must pay. This typically includes minimum charges for storage and handling, but extra charges can be added if additional services are needed or if the shipment needs to be bonded.
Damages can result during the shipment and storage of goods. Warehouses typically agree that they will handle the goods with due care, and depositors agree that the products can be stored safely and not cause a problem. A standard contract spells out the methods of filing a claim and initiating a lawsuit for damages.
Return of Goods:
How the goods will be processed back out of the warehouse and sent to the depositor are part of a standard agreement. Depositors are usually required to send written documentation instructing warehouse personnel to ship certain products to specific places on prescribed dates. Negotiable receipts issued by the warehouse are typically used by the depositor, her representative or buyer of the negotiable receipt to claim product in a warehouse.
The warehouse can place a lien on stored goods if the depositor falls behind on storage payments. The warehouse can hold onto the goods until the bill is paid in full and may sell the goods to recoup past payments if the depositor fails to bring the account back into good standing.
The depositor or warehouse operator can terminate the storage arrangement by giving each other at least a 30 -day written notice.
